Abstract
This dissertation deals with the legal characteristics, the design and practical implementation of corporate governance in family offices in the context of Swiss law. The analysis highlights in particular single family offices - a form of private wealth management, which is closely related to FINMA-regulated asset management. The first part of the thesis is initially devoted to the conceptual and systematic classification of corporate governance and the term «family office» as a legal entity. Furthermore, these terms are being embedded into the contextual framework of the Swiss legal system - with a special focus on commercial and financial market law. With regard to the implementation of corporate governance within a single family office, relevant core aspects of non-regulatory nature are then explained and examined. The aim is to gain a holistic understanding of the complex structure of corporate governance in single family offices, which differs significantly from questions of corporate governance in publicly listed companies. This serves as a basis for the second part of the thesis, which is dedicated to analyse concrete examples of corporate governance in single family offices in order to draw the most important conclusions for designing a corporate governance system in a single family office structure. The basis of this analysis is the consideration of three different shareholder participation models for single family offices, which are methodically examined for their implications with regard to the implementation of corporate governance. The conclusion is a final consideration of the relevant statements made throughout the dissertation.

Die vorliegende Dissertation befasst sich mit den rechtlichen Besonderheiten, der Gestaltung und praktischen Umsetzung wirksamer Corporate Governance bei Family Offices im Kontext des schweizerischen Rechts. Die Betrachtung beleuchtet insbesondere den Typus des sogenannten Single Family Office - einem Konstrukt, das der FINMA regulierten Vermögensverwaltung nahe steht. Der erste Teil widmet sich zunächst der begrifflichen sowie systematischen Verortung der Corporate Governance und des Instituts Family Office. Einerseits wird die Verankerung der Begriffe im Kontext der Rechtsordnung der Schweiz - mit besonderem Blick auf das Handels- und Finanzmarktrecht - dargestellt. Im Sinne einer Synthese werden sodann auch relevante Kernaspekte nicht regulatorischer Natur für die Umsetzung von Corporate Governance im Single Family Office beleuchtet und erklärt. Dabei soll ein ganzheitliches Verständnis über das vielschichtige Gefüge der Corporate Governance im Single Family Offices gewonnen werden, die sich massgeblich von Fragen der Corporate Governance in Publikumsgesellschaften unterscheidet. Dies dient als Grundlage für den zweiten Teil der Arbeit, der anhand konkreter Beispiele die wichtigsten Folgerungen bei der Ausgestaltung eines Corporate Governance Systems in einem Single Family Office konkretisiert. Als Grundlage dient die Betrachtung dreier unterschiedlicher Beteiligungsmodelle im Single Family Office, welche methodisch im Rahmen einer deduktiven Vorgehensweise auf ihre Implikationen für die Corporate Governance untersucht werden. Den Abschluss bildet eine Schlussbetrachtung der relevanten Aussagen.
